BYLAWS OF NAFUS ALUMNI RESEARCH ASSOCIATION

本章程经发起人及理事会成员审定,旨在确立本会作为 501(c)(3) 非营利机构的治理逻辑与合规路径,确保历史使命的持续推进。

序言 (Preamble)

一九八九年中国民主运动是当代中国乃至世界历史上规模空前、影响深远的非暴力抗争运动,被视为二十世纪反对极权、追求普世文明的先锋 。本会由 1989 年中国民主运动中“外地高校学生自治联合会”(NAFUS)的发起人、组织者及见证者共同创立。承载着“八九一代”的历史使命,旨在以史为鉴,通过严谨的学术研究、档案存证、建立史志及战略布局,还原历史真相,推动社会文明进步。研究、倡导和践行自由、民主与人权的普世价值观,致力于将这段波澜壮阔的历史转化为推动全球文明进步与解决时代困境的持续动力。

第一条:名称与法律地位 (Name and Legal Status)

1.1 法定名称:NAFUS Alumni Research Association。

1.2 登记身份:本会系依据美国法律成立的 501(c)(3) 非营利学术、教育及社会福利研究机构,注册地为美国纽约州。本会作为法律登记主体(Legal Entity),独立持有相关著作权与国际标准书号(ISBN),并行使登记出版商职能 。

第二条:宗旨与业务范围 (Mission and Scopes)

本会致力于在普世价值共识基础上,通过学术研究与公益传播,促进人类文明进步:

历史存证与研究:系统性搜集并数字化保存 NAFUS 和八九民运、自由民主人权核心史料,建立史志,填补历史研究空白,开展系统化研究 。

人权研究与倡导:基于八九历史案例与人物个案,研究中国社会转型中的人权现状,倡导符合国际标准的普世价值与法治理念。

慈善救济与学术协同:设立专项基金,为致力于真理搜寻、人权研究及历史记忆保存而陷入困境的研究者与见证者提供必要的人道援助与学术支持。

文明融合教育:利用 AI 等新技术、学术交流及全球出版,致力于普世价值共识基础上的中西文明融合。

社会经济与法治研究:针对自由市场经济与中国民营经济公平正义、公民财产权保障及权力的公有化转型进行学术探讨,倡导权力公有、财产私有的文明共识。

战略规划与人才培养:运用 AI 人工智能等前沿科技,构建“解决中国民主化问题”的战略体系。培养具备政治、经济、科技等多领域素养的“复合型组织者”与年轻世代传承者 。

第三条:会员资格 (Membership)

本会实行在认同和准守本会章程的基础上,自愿加入制。会员类别包括:

创始会员/同学会员:1989 年外高联同学及相关组织成员。

历史见证会员:曾参加八九民运的北京同学及社会各界相关人士。或认同八九精神的海内外华人及后续觉醒的各界进步人士,均可自愿申请加入

学术委员会会员:从事八九历史、中国民主与人权研究的专家学者 。

荣誉会员:对中国社会进步事业作出杰出贡献的国际人士 。

薪火相传:特别设立“青年学者委员会”,旨在连接年轻志士,实现自由民主人权精神的跨世代薪火相传。

第四条:治理架构与权责 (Governance)

本会采取“理事会决策、会长领导战略、秘书长负责行政执行”的管理模式,以符合法律合规性与非执行负责人的身份要求:

第五条:财务限制与资产流向 (Finance & Dissolution)

5.1 非营利限制:本会所有收入(包括书籍销售净利润)严禁分配给个人,必须全额用于支持章程规定的宗旨与项目 。

5.2 资产流向:若本会解散,剩余资产将捐赠给致力于人权、教育与民主发展的 501(c)(3) 机构 。

Bylaws of NAFUS Alumni Research Association

(Review Draft)

These bylaws have been reviewed and approved by the founders and members of the Board of Directors. They are intended to establish the governance logic and compliance path for the association as a 501(c)(3) non-profit organization, ensuring the continuous advancement of its historical mission.

Preamble

The 1989 Chinese Democracy Movement was a non-violent protest movement of unprecedented scale and profound influence in contemporary Chinese and world history, regarded as a pioneer in the 20th-century struggle against totalitarianism and the pursuit of universal civilization. This association was co-founded by initiators, organizers, and witnesses of the "National Autonomous Federation of Provincial University Students" (NAFUS) during the 1989 Chinese Democracy Movement. Carrying the historical mission of the "Generation of '89," the association aims to use history as a mirror. Through rigorous academic research, archival preservation, the establishment of historical records, and strategic planning, it seeks to restore historical truth and promote the progress of social civilization. By studying, advocating, and practicing the universal values of freedom, democracy, and human rights, the association is committed to transforming this magnificent period of history into a continuous driving force for global civilizational progress and the resolution of the dilemmas of our era.

Article 1: Name and Legal Status

1.1 Legal Name: NAFUS Alumni Research Association.

1.2 Registration Status: This association is an academic, educational, and social welfare research institution established under United States law as a 501(c)(3) non-profit, registered in the State of New York. As a legal entity, the association independently holds relevant copyrights and International Standard Book Numbers (ISBN) and performs the functions of a registered publisher.

Article 2: Mission and Scopes

Based on a consensus of universal values, the association is dedicated to promoting human civilizational progress through academic research and public welfare communication:

Historical Archiving and Research: Systematically collect and digitally preserve core historical materials related to NAFUS, the 1989 Democracy Movement, and freedom, democracy, and human rights. Establish historical records, fill gaps in historical research, and conduct systematic studies.

Human Rights Research and Advocacy: Based on historical cases from 1989 and individual accounts, study the current state of human rights in China's social transition. Advocate for universal values and rule-of-law concepts that align with international standards.

Charitable Relief and Academic Synergy: Establish special funds to provide necessary humanitarian assistance and academic support to researchers and witnesses who fall into hardship due to their dedication to seeking the truth, human rights research, and the preservation of historical memory.

Civilizational Integration Education: Utilize new technologies such as AI, academic exchange, and global publishing to work toward the integration of Chinese and Western civilizations based on a consensus of universal values.

Social Economy and Rule of Law Research: Conduct academic explorations into free-market economies, fairness and justice in China's private economy, the protection of civil property rights, and the transformation of power toward public ownership. Advocate for the civilizational consensus of "public power and private property".

Strategic Planning and Talent Cultivation: Utilize advanced technologies such as Artificial Intelligence (AI) to construct a strategic system for "solving the problem of China's democratization". Cultivate "composite organizers" and next-generation successors who possess literacy in various fields including politics, economy, technology, and more.

Article 3: Membership

The association operates on a voluntary joining system based on the identification with and observance of these bylaws. Membership categories include:

Founding Members / Alumni Members: 1989 NAFUS classmates and members of related organizations.

Historical Witness Members: Classmates from Beijing and related figures from various sectors of society who participated in the 1989 Democracy Movement. Overseas Chinese who identify with the 1989 spirit and progressive individuals from various fields who have subsequently awakened may also apply voluntarily to join.

Academic Committee Members: Experts and scholars engaged in research on 1989 history, Chinese democracy, and human rights.

Honorary Members: International figures who have made outstanding contributions to the cause of Chinese social progress.

Legacy (Passing the Torch): A special "Youth Scholars Committee" is established to connect young people of high ideals and achieve a cross-generational inheritance of the spirit of freedom, democracy, and human rights.

Article 4: Governance

The association adopts a management model of "Board decision-making, President strategic leadership, and Secretary General administrative execution" to meet legal compliance and the status requirements of non-executive officers:

Article 5: Finance and Dissolution

5.1 Non-profit Restrictions: All income of the association (including net profits from book sales) is strictly prohibited from being distributed to individuals and must be used in full to support the missions and projects defined in the bylaws.

5.2 Asset Flow: If the association is dissolved, remaining assets will be donated to 501(c)(3) institutions dedicated to human rights, education, and the development of democracy.
